GREENROOM Terms of Service

These Terms of Service (the “Terms”) constitute a binding agreement between you and GREENROOM (“GREENROOM”, “we”, “our”, or “us”) and govern your access to and use of the GREENROOM website, applications, and any related services we make available (collectively, the “Platform”). By accessing or using the Platform in any manner, you acknowledge that you have read these Terms, understood them, and agreed to be bound by them. If you do not agree, you must not use the Platform.

1. The Platform

GREENROOM is an independent community platform focused on nightlife, music events, venues, crews, artists, freelancers, and the broader creative industries that intersect with them. Through the Platform, registered members may publish reviews and ratings, contribute information about venues and events, share aggregated industry insights, and participate in moderated community discussion. Basic listing information about venues and events — such as locations, links, and event dates — is collected from verified public resources and from community contributions, and is reviewed by moderators before publication. The Platform is offered as a place of practical transparency for the people who work nightlife, and the features available through it may evolve at our discretion as the community and the underlying technology change.

2. Eligibility

You may use the Platform only if you are at least eighteen (18) years of age and otherwise legally permitted to enter into a binding agreement under the laws applicable to you. By using the Platform you represent that you meet these requirements, that any information you provide is accurate and current, and that you will use the Platform only for lawful purposes and in compliance with these Terms and all applicable laws and regulations.

3. Accounts

Certain functions of the Platform require a registered account. You are responsible for the security of your account credentials, for any activity that occurs under your account, and for keeping the contact information associated with your account current. You agree to notify us promptly of any unauthorized access to or use of your account. We may suspend, restrict, or terminate accounts that violate these Terms, that we reasonably believe pose a risk to the Platform or its community, or as otherwise required by law. We may also limit access to certain features for accounts that have not completed identity or community verification steps where those steps are offered.

4. User Content

You retain ownership of the content you submit to the Platform, including reviews, ratings, comments, profile information, uploaded media, and compensation submissions (“User Content”). By submitting User Content, you grant GREENROOM a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (for purposes such as formatting and machine translation), display, perform, distribute, and otherwise use that User Content in connection with operating, improving, promoting, and providing the Platform. This license continues for as long as the User Content remains on the Platform and, where contributions have been anonymized after account deletion, for as long as the anonymized form remains visible.

You are solely responsible for your User Content and for the consequences of submitting it. You represent and warrant that you have all rights necessary to grant the license described above and that your User Content does not infringe the rights of any third party, does not violate applicable law, and is not otherwise prohibited by these Terms or our Community Guidelines.

5. Acceptable Use

You agree to use the Platform in good faith and in a manner consistent with the goals of an independent crew-owned review community. Without limiting the generality of the foregoing, you agree not to submit content that is false, misleading, defamatory, or deceptive; not to harass, threaten, intimidate, or abuse other users or third parties; not to publish hate speech or discriminatory content; not to share private or confidential information about individuals without their consent; not to impersonate any person or organization; not to submit fraudulent reviews or ratings or otherwise attempt to manipulate scores, rankings, leaderboards, or statistics; not to upload malware or other harmful code; not to use the Platform for any unlawful purpose; and not to scrape, copy, or otherwise extract Platform data at scale without our express written permission. Detailed expectations for community conduct are described in our Community Guidelines, which are incorporated into these Terms by reference.

6. Reviews, Ratings, and Editorial Decisions

The reviews, ratings, badges, leaderboards, and other editorial elements visible on the Platform reflect the aggregated experiences and opinions of GREENROOM’s contributors. They are not statements of fact by GREENROOM, and GREENROOM does not guarantee their accuracy, completeness, fairness, or reliability. Aggregate scores are produced through weighted statistical methods that GREENROOM may adjust from time to time as the methodology evolves; details of the current methodology are described on the public About page.

We reserve the right, at our sole discretion, to remove, edit, format, translate, or otherwise moderate any User Content; to display warnings or contextual notes on any community page; to suspend or terminate accounts engaged in abuse or manipulation; and to decline to take any of those actions. Editorial decisions made in good faith pursuit of community integrity are not negotiable through the Platform’s appeal channel; that channel is intended to surface concerns about specific factual or rule violations, not to contest aggregate score outcomes. Where we block or remove a specific piece of User Content following a report, we provide the author with a statement of reasons and, for eligible decisions, an opportunity to appeal through their dashboard within the stated window.

7. Wage, Payment, and Industry Data

Where the Platform displays compensation, payment, or industry-related information submitted by users, that information is self-reported, may be incomplete or inaccurate, and is provided strictly for informational purposes. It is not, and must not be relied upon as, financial, legal, tax, employment, or career advice. GREENROOM makes no representation or warranty as to the accuracy of any compensation information and disclaims any liability arising out of reliance on it.

8. Account Deletion and Data Retention

You may request deletion of your account at any time through the controls provided in your dashboard. Upon deletion, GREENROOM will remove personal account data associated with you, but contributions that you previously made to public community resources—such as reviews, ratings, and aggregated wage submissions—may remain on the Platform in anonymized form so that the community context they were part of is preserved. We may also retain certain information where retention is required by law, necessary for the prevention of fraud or abuse, necessary to enforce these Terms, or necessary for the security of the Platform and its users.

9. Intellectual Property

The Platform, including its software, design, original written content, the GREENROOM name and logo, and any other materials made available by GREENROOM, are owned by GREENROOM or its licensors and are protected by applicable intellectual property laws. Except as expressly permitted by these Terms or by separate written agreement, you may not copy, reproduce, modify, reverse engineer, decompile, disassemble, redistribute, sell, license, or otherwise exploit any part of the Platform, nor use GREENROOM’s branding in a manner that suggests endorsement or affiliation without our prior written consent.

10. Third-Party Services

The Platform relies on a number of third-party services, including authentication providers, hosting and infrastructure providers, error monitoring services, anti-abuse services, machine translation services, and privacy-friendly, cookieless usage analytics and performance monitoring (loaded only with your consent). Your use of the Platform may therefore involve the transfer of information to those providers and may be subject to their respective terms and privacy policies. The current set of providers is described in our Privacy Policy. GREENROOM is not responsible for the practices of third-party services beyond the choices we make in selecting and configuring them.

11. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, GREENROOM disclaims all warranties of any kind, whether express, implied, or statutory, including without limitation any warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted or error-free operation. GREENROOM does not warrant that the Platform will meet your requirements, that it will be available without interruption, that defects will be corrected, or that any User Content will be accurate or reliable. Your use of the Platform is at your sole risk.

12. Limitation of Liability

To the fullest extent permitted by applicable law, GREENROOM and its operators, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation lost profits, lost revenue, lost income, lost business opportunities, lost goodwill, reputation damage, employment disputes, venue disputes, data loss, or platform downtime, even if GREENROOM has been advised of the possibility of such damages. In no event will GREENROOM’s aggregate liability arising out of or relating to your use of the Platform exceed the greater of the amount you have paid to GREENROOM in the twelve months preceding the event giving rise to the claim, or one hundred United States dollars (US$100). The limitations and exclusions in this section apply to the maximum extent permitted by law, and certain jurisdictions do not permit the exclusion of certain warranties or limitation of liability for incidental or consequential damages, in which case the foregoing limitations apply only to the extent permitted.

13. Termination

These Terms remain in effect for as long as you use the Platform. You may stop using the Platform at any time. GREENROOM may suspend or terminate your access at any time, with or without notice, for any conduct that GREENROOM determines in its reasonable discretion violates these Terms, harms the Platform or its community, or exposes GREENROOM or third parties to legal or reputational risk. Sections of these Terms that by their nature should survive termination—including without limitation the licenses you have granted, the disclaimers of warranties, the limitation of liability, and the provisions concerning intellectual property and dispute resolution—will continue to apply after termination.

14. Changes to These Terms

We may revise these Terms from time to time to reflect changes to the Platform, the legal environment in which we operate, or our business practices. When we make material changes, we will update the “Last updated” date at the top of these Terms and, where appropriate, provide additional notice through the Platform. Your continued use of the Platform after revised Terms become effective constitutes your acceptance of those revised Terms; if you do not agree to the revised Terms, you must stop using the Platform.
